Terms and Conditions
Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the services offered by searchaly ("us", "we", or "our").
Your access to and use of our services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and clients who access or use our services. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the services.
1. Services
searchaly provides Shopify website design and development services. We are a certified Shopify Partner. Our services are offered through distinct packages, as detailed below.
2. Service Packages
We offer three primary service packages. The scope of service is strictly limited to the items listed within each package.
a) Basic Package
- Shopify Store Setup
- Addition of up to 10 products
- Logo design is not included.
- Includes 7 days of free support, commencing from the date of project completion/handover.
b) Standard Package
- Premium Theme
- Shopify Store Setup
- Addition of up to 20 products
- Includes 30 days of free support, commencing from the date of project completion/handover.
c) Premium Package
- Shopify Store Setup
- Premium Custom Theme Implementation
- SEO & Speed Optimization
- Addition of up to 30 products
- Includes lifetime free support.
3. Scope of Support (Standard & Premium Packages)
Our "Free Support" (30-day for Standard, Lifetime for Premium) is provided to ensure the smooth operation of the delivered website and covers the following:
- Changing the order of existing sections on a page.
- Uploading new banner images (provided by the client).
- Making minor text changes to existing content.
- Fixing any functions or features from our original scope of work that are not working correctly due to code issues from our side.
Exclusions from Free Support:
The following services are not covered by our free support and will incur additional charges:
- Adding new sections to any page.
- Creating new pages (e.g., "About Us", "FAQ", new collection pages).
- Adding new products beyond the initial package limit.
- Linking or setting up third-party accounts (e.g., social media, payment gateways not included in the initial setup).
- Setting up or configuring new Shopify Apps.
- Any other major changes or requests deemed outside the scope of minor adjustments or bug fixes.
We will provide a quote for any work that falls outside the scope of free support.
4. Payments and Refunds
- Non-Refundable Payment: The first payment (or deposit) made to initiate a project is non-refundable under any circumstances.
- Price Fluctuation: The final price of a package is subject to change. If the client requests additional services, features, or revisions that are outside the scope of the agreed-upon package, the total project cost will increase. All additional work will be quoted and must be approved by the client before being undertaken.
5. Client Responsibilities
To ensure a timely and successful project, you (the client) agree to provide all necessary content, materials, and information required for the project. This includes, but is not limited to, text, product information (descriptions, prices, images), branding assets (logo, if available), and timely feedback.
Delays in providing these materials may result in a project timeline extension.
6. Project Handover
Upon completion of the project and full payment, searchaly will hand over all necessary website files and administrative access to the client. The project will be considered complete and handed over upon the client's receipt of this access.
Once the website is handed over, the client assumes full responsibility for the website and its contents. searchaly is not liable for any files, data, or site functionality that is destroyed, damaged, or lost after the official handover.
7. Limitation of Liability
searchaly will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, new or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
8. Intellectual Property
Upon receipt of full and final payment, searchaly grants the client a non-exclusive, perpetual, worldwide license to use the finalized website design. We retain the right to display and link to your completed project as part of our portfolio and to write about the project on websites, in magazine articles, and in books.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
